Overview

MarketCounsel is a business and regulatory consultancy built around independent investment advisers. It supports firms during the move to independence, continuing compliance operations, growth, acquisition evaluation, and succession. Its model combines professional services, membership programs, education, and proprietary workflow technology.

The company works alongside Hamburger Law Firm, an affiliate that can provide legal representation under a separate agreement. MarketCounsel itself distinguishes its consulting staff from attorneys acting as a client’s counsel, an important boundary when evaluating scope and privilege.

Who it may suit

The RIA Incubator may suit an adviser leaving an existing platform and seeking coordinated registration, initial program construction, and transition support. Established RIAs can choose among continuing membership levels based on how much direction, annual-review assistance, and delegated work they need.

Larger advisers or financial institutions may also consider program verification, transaction diligence, custom consulting, and lifecycle planning. Firms wanting only occasional help should compare that need with the implementation and participation expected in a membership relationship.

RIA compliance services

Startup work covers registration obligations and installation of an initial compliance program through a process-driven project. Continuing services include responsive consulting, advertising review, regulatory reporting, examination support, policy development, education, and assessments of program readiness and effectiveness.

The Tactical membership adds scheduled, documented work intended to support the annual review, while Comprehensive expands the ability to delegate without repeated incremental purchasing decisions. Verification services can be used during an acquisition, staffing change, or targeted concern. Member initiation addresses the manual, CCO responsibilities, business processes, resources, and operating systems; continuing education is delivered through the Member Academy.

How the engagement works

The launch program uses a fixed project fee. Operating RIAs enter one of three membership tiers—Core, Tactical, or Comprehensive—after an initiation process that familiarizes both sides with the program and the adviser’s business.

MARK by MarketCounsel provides a shared technology layer for objectives, activities, and visibility. Legal matters are not automatically covered by the consulting relationship; an adviser can separately retain the affiliated law firm or coordinate with independent counsel.

What stands out

MarketCounsel’s clearest distinction is its lifecycle approach. It connects independence planning and RIA formation with recurring compliance management, technology, education, transaction-related verification, and later-stage business decisions.

The explicit separation between consulting and legal representation is also useful. The presence of attorneys on a consulting team does not by itself create an attorney-client relationship, so the firm tells clients to contract separately when legal advice is required.

What to clarify before contacting

Request a comparison of the three memberships showing included work, cadence, deliverables, staffing, response standards, additional fees, and responsibilities that remain with the CCO. For launch work, confirm transition dependencies, registration assumptions, document customization, timing, post-registration support, and third-party costs.

Technology diligence should cover MARK licensing, implementation, integrations, access controls, security, record retention, support, and export. If legal, acquisition, or succession help is contemplated, obtain distinct scopes and fees and identify which organization and professionals are responsible for each task.
